A. de C.V. (WisperNet®). Estas condiciones no alteran los términos y condiciones de cualquier otro acuerdo que pueda tener con WisperNet® para los productos, servicios o de otra índole.

WisperNet® se reserva el derecho de cambiar o modificar los términos y condiciones contenidos en los presentes términos y condiciones o de cualquier política o directriz de los servicios en cualquier momento y a su sola discreción. Se proporcionará un aviso mediante la publicación de los términos revisados a los servicios y el cambio de la fecha de “última revisión” en la parte superior de los “Términos y Condiciones” o por otros medios de notificación que la empresa determinará en su momento, a su entera discreción. Usando una forma particular de notificación en algunos casos, no nos obliga a usar la misma forma en otros casos. Cualquier cambio o modificación será efectiva inmediatamente después de la publicación de las revisiones de los servicios, y usted renuncia a cualquier derecho que pueda tener para recibir un aviso específico de tales cambios o modificaciones. El uso de estos servicios confirmará su aceptación de tales cambios o modificaciones, por lo que debe revisar con frecuencia los términos y políticas aplicables para entender las condiciones que se aplican a su uso de los servicios. Requisitos
Usted debe tener al menos 18 años para acceder o utilizar los servicios y no estar incapacitado legalmente (usted debe contar con plena capacidad legal para contratar). Al registrarse para utilizar los servicios, usted representa y garantiza que es mayor de 18 años, que no se registra para utilizar los servicios en nombre de un tercero y que no han sido previamente suspendido(a) o retirado(a) de los servicios. Usted manifiesta y garantiza que no utilizará los servicios si las leyes del país le prohíben que lo haga de acuerdo con estas condiciones.

Registro y Cuenta
Para utilizar los Servicios, usted debe crear una cuenta con la Compañía (“cuenta”) al iniciar sesión por medio de una de las plataformas soportadas de medios (“medio de acceso”). Usted manifiesta y garantiza que es el titular autorizado de la cuenta de medio de acceso” que utilizó para registrarse en su cuenta. Usted puede inscribirse para una sola cuenta.

También se compromete a:

1. Proporcionar información exacta, actualizada y completa al crear o actualizar una cuenta.
2. Mantener actualizada la información de su cuenta.
3. Mantener la seguridad y confidencialidad de sus datos de acceso y restringir el acceso a su cuenta y su equipo.
4. Notificará inmediatamente a la empresa enviando un correo electrónico a clientes@wispernet.com.mx si descubre o sospecha de algún fallo de seguridad relacionado con los servicios.
5. Asumir la responsabilidad de todas las actividades que ocurran bajo su cuenta y aceptar todos los riesgos de acceso no autorizado.

Descripción de los Servicios
Cuenta Virtual, con el fin de realizar compra de equipos y servicios ofrecidos por la Compañía. Toda la información de la cuenta es tratada de forma confidencial y de forma transparente para los Clientes. La Compañía utiliza servicios de tercer para proveer servicios de pago (ej. procesamiento de tarjetas, generación de referencias de pago, y servicios relacionados). Al hacer uso de alguno o todos de estos servicios usted acepta que quedará vinculado a los términos y condiciones de uso, políticas de privacidad de estos servicios y por lo cual consiste y autoriza a nosotros delegar las autorizaciones y compartir la información que usted provee a los Servicios con nuestro(s) tercero(s).

Controversias
Usted reconoce y acepta que cualquier disputa que pueda tener sobre los pagos y de la recepción de las transferencias será resuelta exclusivamente entre usted y su institución bancaria, y que WisperNet® no es responsable de cualquier pago o de las operaciones de transferencia, incluyendo, sin limitación, cualquier información personal o de pago que usted proporciona.

Contracargos
El cliente es responsable de documentar y responder a las solicitudes de contracargo y/o fraude cibernético que se pudieran presentar. WisperNet® facilitará la información a su alcance para el trámite ante las instituciones bancarias, pero no asume responsabilidad alguna por contracargos y no asumirá costos por este concepto.

Las partes deben revisar los detalles del contracargo y si es posible, enviar las pruebas a la entidad emisora de la tarjeta de débito o crédito para llevar a cabo el proceso de aclaración de acuerdo con los tiempos y en los términos establecidos en la regulación aplicable. La entidad emisora de la tarjeta de débito o crédito es la responsable de determinar la resolución del contracargo.

En el evento que haya transacciones objetadas por los clientes finales y sean procedentes reembolsos sobre los mismos, El cliente desde este momento autoriza a WisperNet® a descontar de cualquier saldo que tenga a favor, el importe de la transacción más las comisiones generadas por esta circunstancia en lo sucesivo, el “Descuento por Contra Cargo”.

En caso de que la plataforma sufra mal uso para realizar fraude, se aplicará la ley correspondiente en el más alto grado.

En caso de que el cliente no registre saldo a favor, deberá pagar a WisperNet® el Descuento por el Contra Cargo, dentro de los 5 (cinco) días hábiles posteriores a que WisperNet® lo requiera. En caso de mora aplicarán intereses moratorios desde la fecha del incumplimiento y hasta la de su total y completo pago a razón de la tasa del 2.5 % (dos punto cinco por ciento) mensual, estableciendo desde este momento que cualquier pago aplicará primero a intereses y posteriormente a capital.

Usted tiene la sola responsabilidad cuando utiliza los servicios
WisperNet® no es parte, no tiene ninguna participación o interés en, no hace representaciones o garantías en cuanto a -y no tiene responsabilidad u obligación con respecto a- las comunicaciones, transacciones, interacciones, conflictos o cualquier forma de relación entre usted y cualquier otro usuario, persona u organización. Usted es el único responsable de sus interacciones con los usuarios de nuestros servicios. Nos reservamos el derecho, pero no tenemos la obligación, de supervisar interacciones entre usted y otros usuarios de nuestros servicios.

Verificación de identidad
Usted es el único responsable de determinar la identidad e idoneidad de los otros usuarios con los que puede interactuar a través de nuestros servicios. Nosotros no investigamos o verificamos la reputación, la conducta, la moral, antecedentes penales, comerciales, de crédito, o cualquier información que un participante pudiera presentar a través de los Servicios. Usted reconoce que WisperNet® no hace representaciones o garantías de ningún tipo con respecto a ningún usuario registrado para utilizar los servicios y que usted es el único responsable de la investigación y selección de los usuarios.

Liberación
Debido a que nuestros servicios no son más que una opción de pago electrónico, en caso de que usted tenga una disputa con uno o más usuarios de los servicios, usted nos libera (y a nuestros funcionarios, directores, socios, empleados, agentes, afiliados y proveedores) de las reclamaciones, demandas, daños y perjuicios de cualquier tipo y naturaleza, conocidos y desconocidos, sospechados e insospechados, revelados y no revelados, que surjan de o relacionados de alguna manera con dichos conflictos.

Relación con terceros (empresas o proveedores)
WisperNet® no es representante de Facebook, PROSA, VISA, MasterCard o American Express ni cualquier otra empresa que pueda estar involucrada con los servicios. Facebook, PROSA, VISA, MasterCard y American Express son marcas registradas ajenas a la compañía. Usted es responsable de cumplir con los contratos, términos y condiciones de uso y políticas aplicables de Facebook, PROSA, VISA o MasterCard y de cualquier otra empresa que pueda estar involucrada con los servicios. WisperNet® no será responsable por los datos personales, información financiera, personal o sensible que usted intercambie, registre o use a través de Facebook, PROSA o terceros involucrados

Retroalimentación
Usted reconoce y acepta que cualquier material, incluyendo, pero no limitado a las preguntas, comentarios, opiniones, sugerencias, ideas, planes, notas, dibujos, materiales originales o creativos u otra información, con respecto a WisperNet® o de los servicios (en adelante, “comentarios”) que son proporcionados por usted, ya sea por correo electrónico, publicación de los servicios, o de lo contrario, no son confidenciales y serán propiedad exclusiva de WisperNet®.

WisperNet® será propietaria de los derechos exclusivos, incluyendo todos los derechos de propiedad intelectual, y tendrá derecho al uso irrestricto y la difusión de los comentarios para cualquier propósito, comercial o de otro tipo, sin reconocimiento o compensación para usted.

Indemnización
Usted acepta defender, indemnizar y eximir de responsabilidad a WisperNet®, sus proveedores de servicios y consultores, y sus respectivos directores, empleados y agentes, de y contra cualquier reclamación, daños, costos, responsabilidades y gastos (incluyendo, pero no limitado a, honorarios razonables de abogados) que surjan de o en relación con:

1. Su uso de los servicios.
2. Cualquier contenido de usuario o comentarios que usted proporcione.
3. Su violación de estas condiciones.
4. Su violación de cualquier derecho de otro.
5. Su conducta en relación con los Servicios.

Algunas jurisdicciones limitan las indemnizaciones de los consumidores, por lo que algunos o la totalidad de las cláusulas de indemnización anteriores pueden no aplicarse en su caso. Si usted está obligado a indemnizar a nosotros, tendremos el derecho, a nuestra discreción y sin trabas, para controlar cualquier acción o procedimiento y determinar si queremos resolverlo, y si es así, bajo qué condiciones.

Renuncia y garantías
WisperNet® NO OFRECE NINGUNA GARANTÍA EN CUANTO A LA EJECUCIÓN O LA DISPONIBILIDAD ININTERRUMPIDA DE LOS SERVICIOS O LOS MATERIALES DE WisperNet®. LOS SERVICIOS Y MATERIALES DE WisperNet® SE PROPORCIONAN “TAL CUAL” Y “SEGÚN DISPONIBILIDAD”, SIN GARANTÏAS DE NINGÚN TIPO, YA SEAN EXPRESAS O IMPLÍCITAS. WisperNet® NIEGA TODAS LAS GARANTÍAS, EXPRESAS O IMPLÍCITAS, INCLUYENDO, LOS SERVICIOS Y LA INFORMACIÓN, EL CONTENIDO Y LOS MATERIALES CONTENIDOS EN EL MISMO. WisperNet® NO REPRESENTA NI GARANTIZA QUE LOS MATERIALES DE WisperNet® O LOS SERVICIOS SEAN EXACTOS, COMPLETOS, CONFIABLES, ACTUALES O LIBRE DE ERRORES. SI BIEN WisperNet® REALIZA INTENTOS PARA HACER SEGURO SU ACCESO Y USO DE LOS SERVICIOS DE WisperNet®, NO PUEDE Y NO REPRESENTA NI GARANTIZA QUE EL SITIO O SU SERVIDOR (S) ESTÉN LIBRES DE VIRUS U OTROS COMPONENTES DAÑINOS; POR LO TANTO, USTED DEBE UTILIZAR SOFTWARE RECONOCIDO DE LA INDUSTRIA PARA DETECTAR Y DESINFECTAR DE VIRUS CUALQUIER DESCARGA.

WisperNet® se reserva el derecho de modificar todos y cada uno de los contenidos en los servicios en cualquier momento sin previo aviso. La referencia a cualquier producto, servicio, proceso u otra información, por nombre comercial, marca registrada, fabricante, proveedor u otro no constituye o implica respaldo, patrocinio o recomendación de los mismos, o cualquier afiliación con la misma, por WisperNet®.

SI LA LEY MEXICANA NO PERMITIERA LA EXCLUSIÓN DE LAS CONDICIONES IMPLÍCITAS EN CONTRATOS CON CONSUMIDORES, ALGUNAS O TODAS LAS RENUNCIAS EN ESTA SECCIÓN PODRÍAN NO APLICAR EN SU CASO.

Límite de responsabilidad
EN NINGÚN CASO WisperNet®, SUS DIRECTORES, EMPLEADOS O AGENTES SERÁN RESPONSABLES POR DAÑOS DIRECTOS, PERJUICIOS, O CUALQUIER OTRO DAÑO DE ALGUN TIPO, QUE SURJA DE O DE ALGUNA MANERA RELACIONADOS CON EL USO O IMPOSIBILIDAD DE USAR EL SERVICIO, INCLUYENDO SIN LIMITACIÓN LOS DAÑOS PROVOCADOS POR LA CONFIANZA DEPOSITADA POR EL USUARIO EN CUALQUIER INFORMACIÓN OBTENIDA DE WisperNet®, O COMO RESULTADO DE ERRORES, OMISIONES, INTERRUPCIONES, ELIMINACIÓN DE ARCHIVOS O CORREO ELECTRÓNICO, ERRORES, DEFECTOS, VIRUS, RETRASOS EN LA OPERACIÓN O TRANSMISIÓN O CUALQUIER FALLO DE FUNCIONAMIENTO, YA SEA O NO POR DESASTRES NATURALES, FALLO DE COMUNICACIONES, ROBO, DESTRUCCIÓN O ACCESO NO AUTORIZADO A LOS REGISTROS, PROGRAMAS O SERVICIOS. EN NINGÚN CASO LA RESPONSABILIDAD TOTAL DE WisperNet®, YA SEA EN CONTRATO, GARANTÍA, RESPONSABILIDAD OBJETIVA O DE OTRO TIPO, QUE SURJA DE O EN RELACIÓN CON EL USO O IMPOSIBILIDAD DE USO DE LOS SERVICIOS DE SUPERAR ALGUNA COMPENSACIÓN QUE PAGUE EN SU CASO A WisperNet® POR ACCESO O USO DE LOS SERVICIOS. SI LA LEY MEXICANA NO PERMITIERA LA LIMITACIÓN DE LA RESPONSABILIDAD EN LOS CONTRATOS CON EL CONSUMIDOR, ALGUNAS O TODAS LAS LIMITACIONES DE LA RESPONSABILIDAD PUDIERAN NO SER APLICABLES AL USUARIO.

Modificaciones a los servicios
WisperNet® se reserva el derecho de modificar o descontinuar, temporal o permanentemente, los servicios o cualquier otra característica o partes de los mismos sin previo aviso. Usted acepta que WisperNet® no será responsable por ninguna modificación, suspensión o interrupción de los servicios o cualquier parte del mismo.

Ley aplicable y jurisdicción
Estas condiciones y su uso de los servicios se regirán e interpretarán de acuerdo con las leyes de la ciudad de Puerto Vallarta, Jalisco, sin tener que recurrir a un conflicto de disposiciones legales.

Arbitraje
LEA EL SIGUIENTE PÁRRAFO CON CUIDADO YA QUE OBLIGA A LAS PARTES PARA ARBITRAR CIERTAS DISPUTAS Y LÍMITA DE LA FORMA EN QUE USTED PUEDE BUSCAR ALIVIO DE WisperNet®. Usted acepta que cualquier acción legal o inequidad que surja de o esté relacionada con estas condiciones y todas las desavenencias que deriven de estas condiciones o que guarden relación con éste serán resueltas definitivamente de acuerdo con el Reglamento de Arbitraje de la Cámara de Comercio Internacional (ICC México) por un árbitro nombrado conforme a este reglamento. El arbitraje será en español y la sede del mismo será la ciudad de Puerto Vallarta, Jalisco. En la máxima medida permitida por la ley aplicable, NINGÚN ARBITRAJE O RECLAMO BAJO ESTAS CONDICIONES DE SERVICIO SERA UNIDO A CUALQUIER OTRO ARBITRAJE O RECLAMO, INCLUYENDO CUALQUIER ARBITRAJE O RECLAMO QUE IMPLIQUE A CUALQUIER OTRO USUARIO ACTUAL O ANTERIOR DEL SERVICIO, Y NINGUNA DEMANDA COLECTIVA, ARBITRAJE O PROCEDIMIENTO SIMILAR NINGÚN TIPO SERA PERMITIDO. NO SERÁN PERMITIDAS ACCIONES COLECTIVAS DE NINGÚN TIPO, SALVO QUE SEAN OBLIGATORIAS POR LEY.

Terminación y Suspensión
No obstante cualquiera de estas condiciones, WisperNet® se reserva el derecho, sin previo aviso y a su sola discreción, de cancelar o suspender su derecho a utilizar los servicios, y bloquear o impedir su acceso futuro, y el uso de los servicios.

Supervivencia 
Secciones (Descripción de los Servicios), (Contribuciones y Transferencias), (Interacción con Otros Participantes), (Contenido del Usuario), (Retroalimentación), (Indemnización), (Renuncia de garantías), (Limite de Responsabilidad), (Ley Aplicable y Jurisdicción), (Arbitraje), esta Sección (Supervivencia) y la sección (Separación) sobrevivirán a cualquier terminación o expiración de estas condiciones.

Separación 
Si alguna disposición de estas condiciones se considerara ilegal, nula o por cualquier razón inaplicable, dicha disposición se considerará separable de estas condiciones y no afectará la validez y aplicabilidad de las disposiciones restantes.

Certifico que me he desempeñado y continuare desempeñando mis actividades de acuerdo a los estándares plasmados en los Términos y Condiciones de pago y reiteramos nuestro compromiso con el cumplimiento legal y de la defensa de los más altos estándares de Ética empresarial. Comprendo que cualquier desviación a lo previamente descrito en los Términos y Condiciones será causa de terminación de todo acuerdo y/o negociación con WN Sistemas y Soluciones, S. A. de C. V.

You represent and warrant that you are the authorized holder of the "access medium" account you used to register for your account. You may sign up for only one account.

You also agree to:

• Provide accurate, up-to-date, and complete information when creating or updating an account.
• Keep your account information up to date.
• Maintain the security and confidentiality of your login credentials and restrict access to your account and your equipment.
• Immediately notify the company by sending an email to clients@wispernet.com.mx if you discover or suspect any security breach related to the services.
• Take responsibility for all activities that occur under your account and accept all risks of unauthorized access.

Privacy Notice
Please visit our privacy notice by clicking on the hyperlink "Privacy Notice" located at the bottom of our website to obtain information about how the company collects, uses, and discloses personally identifiable information from its integrators.

Description of Services 
Virtual Account, in order to purchase equipment and services offered by the Company. All account information is treated confidentially and transparently for Customers. The Company uses third-party services to provide payment services (e.g., card processing, generation of payment references, and related services). By using any or all of these services, you agree to be bound by the terms and conditions of use, privacy policies of these services, and, therefore, you consent and authorize us to delegate authorizations and share the information you provide to the services with our third parties.

Disputes 
You acknowledge and agree that any dispute you may have regarding payments and receipt of transfers will be resolved exclusively between you and your bank, and WisperNet® is not responsible for any payment or transfer operations, including, without limitation, any personal or payment information you provide.

Chargebacks 
The customer is responsible for documenting and responding to chargeback and/or cyber fraud requests that may arise. WisperNet® will provide information at its disposal for processing before banking institutions but assumes no responsibility for chargebacks and will not assume any costs for this concept.

The parties must review the details of the chargeback and, if possible, send evidence to the issuing entity of the debit or credit card to carry out the clarification process in accordance with the times and terms established in the applicable regulation. The issuing entity of the debit or credit card is responsible for determining the resolution of the chargeback.

In the event that there are transactions objected by the end customers and refunds are appropriate, the customer hereby authorizes WisperNet® to deduct from any balance it has in favor, the amount of the transaction plus the fees generated by this circumstance hereinafter, the "Chargeback Discount."

In case the platform is misused for fraud, the corresponding law will be applied to the highest degree.

If the customer does not have a favorable balance, he must pay WisperNet® the Chargeback Discount within 5 (five) business days after WisperNet® requests it. In case of default, late payment interest will apply from the date of default until its total and complete payment at a rate of 2.5% (two point five percent) per month, establishing from this moment that any payment will apply first to interest and then to principal.

You have sole responsibility when using the services 
WisperNet® is not a party, has no involvement or interest in, makes no representations or warranties regarding—and has no liability or obligation with respect to—the communications, transactions, interactions, conflicts, or any form of relationship between you and any other user, person, or organization. You are solely responsible for your interactions with users of our services. We reserve the right, but have no obligation, to monitor interactions between you and other users of our services.

Identity Verification 
You are solely responsible for determining the identity and suitability of other users with whom you may interact through our services. We do not investigate or verify the reputation, conduct, morality, criminal background, business, credit, or any information that a participant may present through the Services. You acknowledge that WisperNet® makes no representations or warranties of any kind regarding any user registered to use the services and that you are solely responsible for investigating and selecting users.

Release 
Because our services are nothing more than an electronic payment option, if you have a dispute with one or more users of the services, you release us (and our officers, directors, partners, employees, agents, affiliates, and suppliers) from any claims, demands, damages, and liabilities of any kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way related to such conflicts.

Relationship with Third Parties (Companies or Providers) 
WisperNet® is not a representative of Facebook, PROSA, VISA, MasterCard, or American Express or any other company that may be involved with the services. Facebook, PROSA, VISA, MasterCard, and American Express are registered trademarks not owned by the company. You are responsible for complying with the contracts, terms and conditions of use, and applicable policies of Facebook, PROSA, VISA, or MasterCard and any other company that may be involved with the services. WisperNet® will not be responsible for the personal, financial, personal, or sensitive data that you exchange, register, or use through Facebook, PROSA, or third parties involved.

Feedback 
You acknowledge and agree that any material, including, but not limited to, questions, comments, opinions, suggestions, ideas, plans, notes, drawings, original or creative materials or other information, regarding WisperNet® or the services (hereinafter, "feedback") provided by you, whether by email, posting of the services, or otherwise, is not confidential and will be the exclusive property of WisperNet®.

WisperNet® will own the exclusive rights, including all intellectual property rights, and will have the right to unrestricted use and dissemination of feedback for any purpose, commercial or otherwise, without acknowledgment or compensation to you.

Indemnification 
You agree to defend, indemnify, and hold harmless WisperNet®, its service providers and consultants, and their respective directors, employees, and agents, from and against any claims, damages, costs, liabilities, and expenses (including, but not limited to, reasonable attorney's fees) arising out of or related to:

• Your use of the services.
• Any user content or feedback you provide.
• Your violation of these conditions.
• Your violation of any other's rights.
• Your conduct in connection with the services.

Some jurisdictions limit consumer indemnities, so some or all of the above indemnity clauses may not apply to you. If you are required to indemnify us, we have the right, at our discretion and unimpeded, to control any action or proceeding and determine whether we want to settle it, and if so, under what conditions.

Waiver and Warranties 
WisperNet® MAKES NO WARRANTY REGARDING THE PERFORMANCE OR UNINTERRUPTED AVAILABILITY OF WisperNet® SERVICES OR MATERIALS. WisperNet® SERVICES AND MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WisperNet® DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, THE SERVICES AND INFORMATION, CONTENT, AND MATERIALS CONTAINED THEREIN. WisperNet® DOES NOT REPRESENT OR WARRANT THAT THE MATERIALS OF WisperNet® OR THE SERVICES ARE ACCURATE, COMPLETE, RELIABLE, CURRENT, OR ERROR-FREE. WHILE WisperNet® MAKES EFFORTS TO MAKE YOUR ACCESS AND USE OF WisperNet® SERVICES SECURE, IT CANNOT AND DOES NOT REPRESENT OR WARRANT THAT THE SITE OR ITS SERVER(S) ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; THEREFORE, YOU MUST USE INDUSTRY-RECOGNIZED SOFTWARE TO DETECT AND DISINFECT VIRUSES FROM ANY DOWNLOAD.

WisperNet® reserves the right to modify any and all content in the services at any time without notice. Reference to any product, service, process, or other information, by trade name, trademark, manufacturer, supplier, or otherwise, does not constitute or imply endorsement, sponsorship, or recommendation thereof, or any affiliation with the same, by WisperNet®.

IF MEXICAN LAW DOES NOT ALLOW THE EXCLUSION OF IMPLIED CONDITIONS IN CONSUMER CONTRACTS, SOME OR ALL OF THE WAIVERS IN THIS SECTION MAY NOT APPLY TO YOU.

Limitation of Liability 
IN NO EVENT WILL WisperNet®, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR DIRECT DAMAGES, DAMAGES, OR ANY OTHER DAMAGES OF ANY KIND, ARISING OUT OF OR IN ANY WAY RELATED TO THE USE OR INABILITY TO USE THE SERVICE, INCLUDING, WITHOUT LIMITATION, DAMAGES CAUSED BY THE RELIANCE OF THE USER ON ANY INFORMATION OBTAINED FROM WisperNet®, OR AS A RESULT OF ERRORS, OMISSIONS, INTERRUPTIONS, DELETION OF FILES OR EMAIL, ERRORS, DEFECTS, VIRUSES, DELAYS IN OPERATION OR TRANSMISSION, OR ANY FAILURE OF PERFORMANCE, WHETHER OR NOT CAUSED BY NATURAL DISASTERS, COMMUNICATIONS FAILURE, THEFT, DESTRUCTION, OR UNAUTHORIZED ACCESS TO RECORDS, PROGRAMS, OR SERVICES. IN NO EVENT SHALL THE TOTAL LIABILITY OF WisperNet®, WHETHER IN CONTRACT, WARRANTY, TORT, STRICT LIABILITY, OR OTHERWISE, ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE SERVICES, EXCEED ANY COMPENSATION YOU PAY TO WisperNet® FOR ACCESS OR USE OF THE SERVICES. IF MEXICAN LAW DOES NOT ALLOW THE LIMITATION OF LIABILITY IN CONSUMER CONTRACTS, SOME OR ALL OF THE LIABILITY LIMITATIONS MAY NOT APPLY TO YOU.

Modifications to the Services 
WisperNet® reserves the right to modify or discontinue, temporarily or permanently, the services or any other feature or parts thereof without notice. You agree that WisperNet® will not be liable for any modification, suspension, or interruption of the services or any part thereof.

Applicable Law and Jurisdiction 
These conditions and your use of the services will be governed and interpreted in accordance with the laws of the city of Puerto Vallarta, Jalisco, without resorting to a conflict of legal provisions.

Arbitration 
READ THE FOLLOWING PARAGRAPH CAREFULLY AS IT OBLIGATES THE PARTIES TO ARBITRATE CERTAIN DISPUTES AND LIMITS HOW YOU CAN SEEK RELIEF FROM WisperNet®. You agree that any legal action or equity arising out of or related to these conditions and all disputes arising from or related to these conditions or related to it will be finally resolved in accordance with the Arbitration Rules of the International Chamber of Commerce (ICC Mexico) by an arbitrator appointed in accordance with these rules. The arbitration will be in Spanish and its venue will be the city of Puerto Vallarta, Jalisco. To the maximum extent permitted by applicable law, NO ARBITRATION OR CLAIM UNDER THESE TERMS OF SERVICE WILL BE JOINED TO ANY OTHER ARBITRATION OR CLAIM, INCLUDING ANY ARBITRATION OR CLAIM INVOLVING ANY OTHER CURRENT OR FORMER USER OF THE SERVICE, AND NO CLASS ACTION, ARBITRATION, OR SIMILAR PROCEDURE OF ANY KIND WILL BE ALLOWED. NO COLLECTIVE ACTIONS OF ANY KIND WILL BE ALLOWED, UNLESS REQUIRED BY LAW.

Termination and Suspension
Notwithstanding any of these conditions, WisperNet® reserves the right, without notice and at its sole discretion, to cancel or suspend your right to use the services, and block or prevent your future access and use of the services.

Survival 
Sections (Description of the Services), (Contributions and Transfers), (Interaction with Other Participants), (User Content), (Feedback), (Indemnification), (Waiver of Warranties), (Limitation of Liability), (Applicable Law and Jurisdiction), (Arbitration), this Section (Survival), and the (Severability) section will survive any termination or expiration of these conditions.

Severability 
If any provision of these conditions is found to be illegal, void, or for any reason unenforceable, such provision will be deemed severable from these conditions and will not affect the validity and enforceability of the remaining provisions.

I certify that I have performed and will continue to carry out my activities in accordance with the standards outlined in the Payment Terms and Conditions, and we reaffirm our commitment to legal compliance and the defense of the highest standards of business ethics. I understand that any deviation from what is previously described in the Terms and Conditions will be grounds for the termination of any agreement and/or negotiation with WN Sistemas y Soluciones, S. A. de C. V.
